Digital company shares are the next logical step. The digitization of company law and related procedures is, not least, a topic that is strongly followed by the European Union. The forthcoming amendment of EU Directive 2017/32 envisages a tremendous acceleration, simplification and use of online tools for start-ups and their operation. Germany can also position itself as a pioneer if we facilitate the transfer of shares in German corporations beyond the stock exchange listing, which is of particular interest to start-ups and their financing. We are also implementing the goals of the coalition agreement. The focus here is that shares similar to electronic securities can be digitized and registered. The digitization of the shares should serve several purposes: the faster, legally secure foundation; easier equity raising and employee ownership. The high costs and legal complexity of transferring shares under German law are the main reason why employees are not involved in the capital of a company. Instead, one makes use of so-called virtual shares or so-called phantom stock programs. These non-specifically regulated contracts form equity investments, but do not achieve the same status as real corporate interests. Suction. Vesting mechanisms (regrowth rules) should be able to be implemented automatically. These are especially important for employee participation because employees earn their participation over a certain period of time. Digital shares not only enable small transactions of shares, but also allow automation of the allocation. Irrespective of this, Germany should create an alternative Blockchain-based trade register and advocate any necessary legal changes at European level. This would allow market-induced improvements in the information function of the commercial register. In addition, the register courts could be relieved. As provided for in the aforementioned EU Directive, on-line start-ups of corporations are to be simplified. Here the identification process could be facilitated by the introduction of a digital identity (at once). That this is possible and has met with great international interest, Estonia has already proven with the e-residency. A similar system should also be implemented in Germany. When registering companies online, we are committed to effective preventive controls and reliable identity checks, including at European level, to ensure the accuracy of registrations and the legitimate expectations of public registers.
